The part most new owners get wrong

Most people start a business with a great idea and a to-do list they found online. What they don't have is a clear answer to the first question that actually matters: how should this business be structured?

That single decision quietly shapes how much you pay in taxes, how protected your personal assets are, and how much paperwork you'll deal with every year. Get it right and you'll barely think about it again. Get it wrong and you could be leaving thousands of dollars on the table β€” or spending next spring untangling it.

Here's what setting up on the right foundation actually involves.

1. Choosing the right entity

There's no "best" entity β€” only the one that fits how you make money.

  • LLC β€” flexible, simple to maintain, and popular for a reason. Good protection for your personal assets without heavy formalities.

  • S-Corp β€” often the smart move once your profit reaches a certain level, because of how owner pay is taxed. But it comes with payroll and compliance requirements that aren't optional.

  • Partnership β€” for two or more owners who want to keep things straightforward, with income flowing directly to each partner.

  • C-Corp β€” a separate taxpayer in its own right, often the choice when you plan to raise outside investment, keep profits in the business to grow, or eventually go bigger. It carries the most formality and its own corporate tax return β€” powerful when it fits, overkill when it doesn't.

The trap we see most often: someone picks a structure because it worked for a friend's business β€” a completely different business, with completely different numbers. What saves your neighbor money could cost you money. This is a decision worth a real conversation, not a quick copy-paste.

2. EIN setup

Your Employer Identification Number is your business's tax ID β€” the number you'll need to open a business bank account, hire employees, and file returns. It's a straightforward step, but small mistakes on the application can create headaches with the IRS later. We handle it correctly so it's done once and done right.

3. State registration

This is where "I'll just do it myself" often turns into weeks of back-and-forth. Registering with New York State, meeting filing requirements, and staying compliant from day one keeps your business in good standing β€” and keeps you out of penalty territory before you've even opened your doors.

And if you're forming an LLC in New York, there's an extra step many owners don't see coming: the state requires you to publish notice of your new LLC in two newspapers and file a Certificate of Publication.
